The Board of Directors provides strategic leadership and follows nonprofit best practices in governance and management of the Foundation. While day-to-day operations are led by the Executive Director (ED), the Board-ED relationship is a partnership, with appropriate oversight, supervision and involvement of the Board to ensure implementation of the goals and objectives of RDPFS.
Qualifications, Expectations and Responsibilities of Directors:
- Willingness to serve in a volunteer capacity, except for reasonable expense reimbursements tied to board duties.
- At least 18 years of age
- Experience working with diverse groups of individuals toward a majority decison is helpful
- Commit to the Foundation’s mission
- Make an annual, personally meaningful financial contribution to the Foundation
- Develop an understanding of all Foundation policies including Bylaws
- Acquire a working understanding of issues and services important to the BVI community
- Complete pre-reading, attend, and participate in all meetings of the board
- Review provided outcomes and metrics reports tied to RDPFS funding for impact and effectiveness
- Participate in critical review of the annual budget, audit reports, and business decisions
- Advocate for the Foundation to identify new partnerships (grantee, program co-funder, etc)
- Assist the Governance Committee in recruiting new Directors
- Actively contribute as a member of one or more committees, task forces, work groups
- Maintain confidentiality about all internal matters related to the Foundation
Terms and Participation
Directors may serve an initial three (3) three-year term with subsequent re-elections by mutual agreement, not to exceed 9 consecutive years. Attendance is expected at four (4) quarterly board meetings annually plus committee meetings. Officer elections and Committee assignments are annual.
